Definitions

• Project: Any work undertaken or service provided by North Creative Co. Ltd. for the client upon their request.

• Client: A person, persons, business, or organisation using any of the services provided by North Creative Co. Ltd.

• Live: The date the website is available on the client’s chosen domain.

• Domain: The website address as specified by the client.

• Open Source Software: Software made freely available under the GNU General Public License (GPL).

• Hosting: Webspace on a server that keeps a client’s website activated online.

• Content: Text and images that the client provides for inclusion on the website.

• Initiation Phase: The period of requirement and information gathering.

• Active Phase: The stage when the project is actively worked on by designers and developers.

• Release Phase: The final stage when the project is deployed to the live environment.

General Terms

1. The contract between North Creative Co. Ltd. and the client is governed by these conditions, superseding all prior agreements or terms.

2. Work to be carried out will be outlined in the confirmation email.

3. Communication will primarily be via email. It is the client’s responsibility to provide valid, updated email addresses.

4. Work begins only after receipt of a non-refundable deposit. Final payment is due within 30 days of the website going live or as specified in the invoice.

Payment Terms

1. A non-refundable initial deposit is required to commence work on any project.

2. Standard invoices issued by North Creative Co. Ltd. are payable within 30 days from the invoice date unless otherwise agreed in writing.

3. Late payments may incur interest charges as permitted under the UK Late Payment of Commercial Debts (Interest) Act 1998.

Client Responsibilities

1. Conduct sufficient research to ensure the legality of the website’s operations.

2. Maintain regular communication during the project timeline. Failure to respond within specified timeframes may result in termination without refund.

3. Provide accurate, timely content. Delays in content provision may extend the project timeline or result in additional charges.

Ownership & Intellectual Property

1. North Creative Co. Ltd. retains ownership of all designs and code until the final payment is received.

2. Purchased images are licensed for website use only. Misuse of images is the client’s responsibility.

3. Clients are responsible for ensuring all content, including images, complies with copyright laws.

Hosting Terms

1. Hosting includes up to 5,000GB of space and 500MB database size unless otherwise agreed.

2. Annual hosting renewal is the client’s responsibility. Failure to renew may result in suspension or loss of data.

3. Hosting renewal charges must be paid within 14 days of expiry to avoid deactivation.

SEO & Website Maintenance

1. Minimum 3-month commitment, cancellable with 1 month’s notice.

2. Additional work outside the agreed retainer will be invoiced separately.

3. North Creative Co. Ltd. cannot guarantee specific search engine rankings.

Liability Limitations

1. North Creative Co. Ltd. is not liable for technical failures, content misuse, or any losses resulting from services provided.

2. Clients are responsible for the renewal of domains purchased independently.

Confidentiality

North Creative Co. Ltd. agrees to treat all client information and data as confidential and not disclose it to third parties unless required for the project’s completion or by law.

Cancellation Policy

Clients may cancel projects during the initiation phase but will forfeit any paid deposits. Additional charges may apply for work completed before cancellation.

If a client wishes to transfer their domain name or website hosting to another provider, they will be liable for transfer fees. Additionally, all outstanding invoices must be paid in full before any transfers or releases are actioned.

Data Privacy & Security

North Creative Co. Ltd. adheres to GDPR regulations and ensures all client data is stored securely. Clients must comply with GDPR requirements for any user data collected through their website.

Force Majeure

North Creative Co. Ltd. is not responsible for delays or failures caused by circumstances beyond its control, such as natural disasters, technical failures, or third-party provider issues.

Jurisdiction

These terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales.
